Conduit Terms of Use / End User License Agreement

This Terms of Use / End User License Agreement ("Agreement") governs your use of the Conduit software, application, and related services (the "Service"), provided by Psiphon Inc. ("Psiphon", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by this Agreement.

1. License

Psiphon grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purposes, subject to this Agreement.

You may not:

• Copy, distribute, sell, or sublicense the Service
• Reverse engineer or attempt to extract source code
• Use the Service in violation of applicable laws
• Interfere with or disrupt the Service

2. Nature of the Service

The Service provides software and infrastructure enabling participation in a distributed system for routing encrypted network traffic.

The Service may include:

• Locally operating software
• Infrastructure operated by Psiphon or provisioned on your behalf
• Relay functionality supporting third-party traffic

The Service is a general-purpose network tool. Psiphon does not control or direct the content of communications transmitted through the Service.

3. Relay Functionality

You acknowledge and agree that:

• The Service may route third-party traffic through systems associated with your use of the Service
• Such traffic is encrypted and not visible to Psiphon
• You have no ability to identify, monitor, or control users of the network
• You are not acting as a service provider, operator, or agent with respect to such traffic

You further agree that you will not attempt to inspect, intercept, or interfere with network traffic.

4. Acceptable Use

You agree not to use the Service:

• In violation of any applicable law or regulation
• To harm, exploit, or interfere with others
• To disrupt or degrade networks or systems
• To attempt unauthorized access to systems

Psiphon may suspend or terminate access at its sole discretion.

5. Fees and Subscriptions

Certain features of the Service may require payment.

You agree that:

• Fees and billing structures may be established or modified by Psiphon or third-party providers
• Subscriptions may renew automatically unless cancelled
• Payment processing may be handled by third parties

6. Privacy

Your use of the Service is subject to the Conduit Privacy Policy.

Psiphon does not collect or store information about user browsing activity, communication content, or the specific websites accessed through the Service. The Service processes only the limited technical data necessary for network operation.

7. Service Availability

The Service is dependent on external networks and third-party infrastructure.

Psiphon does not guarantee:

• Availability, uptime, or performance
• Accessibility in any jurisdiction
• Resistance to blocking or interference

The Service may be modified, interrupted, or discontinued at any time.

8. No Reliance

You acknowledge that:

• The Service is provided as a technical tool only
• Psiphon makes no representations regarding legality, availability, or effectiveness in any jurisdiction
• You are solely responsible for compliance with applicable laws

9. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind.

To the maximum extent permitted by law, Psiphon disclaims all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Continuous or error-free operation

10. Limitation of Liability

To the maximum extent permitted by law, Psiphon shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of data, revenue, or profits
• Service interruptions or failures
• Actions of third parties, including users of the network

11. Indemnification

You agree to indemnify and hold harmless Psiphon from any claims arising out of:

• Your use of the Service
• Your violation of this Agreement
• Your violation of applicable laws

12. Termination

Psiphon may suspend or terminate access to the Service at any time, with or without notice.

13. Changes to the Service or Agreement

Psiphon may modify the Service or this Agreement at any time without liability.

Continued use constitutes acceptance of updated terms.

14. Governing Law

This Agreement is governed by the laws of the Province of Ontario and the laws of Canada applicable therein.

16. Apple App Store Additional Terms

The following terms apply when you download the Service from the Apple App Store:

• This Agreement is between you and Psiphon Inc., and not with Apple Inc.
• Psiphon is solely responsible for the Service and its content.
• Apple has no obligation to provide maintenance or support services.
• Psiphon is solely responsible for addressing any claims relating to the Service, including product liability, legal compliance, or intellectual property claims.
• You agree to comply with all applicable third-party terms, including the App Store Terms of Service.
• Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce its terms.
